Reseller & Partner Terms

These Reseller & Partner Terms ("Partner Terms") govern the relationship between APPHOX Technologies and authorized resellers, implementation partners, and channel partners (collectively, "Partners").

Last updated: 2026 • These terms may be supplemented by a separate Partner Agreement or Program Guide.

1. Appointment & Scope

Subject to these Partner Terms and any signed Partner Agreement, APPHOX may appoint Partner as a non-exclusive reseller or implementation partner for APPHOX solutions in a defined territory, segment, or vertical. No exclusivity is granted unless explicitly stated in writing.

2. Partner Obligations

Partner agrees to:

  • Promote APPHOX products and services in a professional manner.
  • Use only APPHOX-approved branding, product descriptions, and pricing frameworks.
  • Avoid making commitments, warranties, or representations beyond what APPHOX has officially communicated.
  • Comply with all applicable laws, anti-bribery rules, and sanctions regulations.

3. APPHOX Obligations

APPHOX will provide reasonable sales enablement material, technical documentation, and updates relating to the partner program. APPHOX may also provide training, demo environments, and pre-sales support as mutually agreed.

4. Ordering, Pricing & Discounts

Partner discounts, margins, and deal registration rules are defined in the respective Partner Agreement, commercial annexure, or program guide. Final contract for end customers is between either (a) APPHOX and the customer, or (b) Partner and the customer, as specified in the commercial structure.

All APPHOX list pricing, discounts, and partner benefits are confidential and may not be disclosed to third parties other than as required for closing deals.

5. Branding, Marketing & Use of Name

Partner may use APPHOX logos, product names, and marketing assets only as permitted under APPHOX's brand guidelines and solely for promoting APPHOX solutions. Any misuse, misleading positioning or brand dilution is grounds for suspension or termination of partner status.

6. Support Responsibilities

Where Partner is the first-line support provider, Partner will handle Level 1 queries and escalate technical issues to APPHOX in accordance with the applicable Service Level Agreement. In all cases, APPHOX maintains responsibility for platform integrity and core product defects.

7. Confidentiality

Partner agrees to keep all non-public information received from APPHOX confidential, including pricing, roadmaps, technical architecture, and customer lists shared for collaboration. The confidentiality provisions of the Master Services Agreement or Partner Agreement apply.

8. Term & Termination

Partner status is effective for the term specified in the Partner Agreement or until terminated by either party with written notice (e.g., 30 or 60 days), or immediately in case of material breach, fraud, or reputational harm. Upon termination, Partner must cease representing itself as an APPHOX partner and stop using APPHOX brand assets.

9. No Authority to Bind

Partner is an independent contractor and has no authority to bind APPHOX to any obligations or sign contracts on APPHOX's behalf, unless explicitly authorized in writing.
